Artikel 1 – Definities
In deze algemene voorwaarden wordt verstaan onder:
- Ondernemer: A10 Automotive, gevestigd in Nederland, KVK-nummer 87758792.
- Klant: de natuurlijke persoon of rechtspersoon die een overeenkomst aangaat met de ondernemer.
- Overeenkomst: elke afspraak of contract tussen ondernemer en klant.
Artikel 2 – Toepasselijkheid
Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen, offertes en overeenkomsten van A10 Automotive. Afwijkingen zijn uitsluitend geldig indien schriftelijk overeengekomen.
Artikel 3 – Aanbod en overeenkomst
Alle aanbiedingen zijn vrijblijvend. Een overeenkomst komt tot stand na schriftelijke bevestiging door A10 Automotive of na feitelijke uitvoering van de opdracht.
Artikel 4 – Prijzen
Alle vermelde prijzen zijn inclusief BTW, tenzij anders aangegeven. A10 Automotive behoudt zich het recht voor om prijzen te wijzigen vóór totstandkoming van de overeenkomst.
Artikel 5 – Levering
Leveringstermijnen zijn indicatief. Overschrijding ervan geeft de klant geen recht op schadevergoeding of ontbinding van de overeenkomst, tenzij dit schriftelijk is overeengekomen.
Artikel 6 – Betaling
Betaling dient te geschieden binnen 14 dagen na factuurdatum, tenzij anders overeengekomen. Bij niet-tijdige betaling is de klant van rechtswege in verzuim.
Artikel 7 – Eigendomsvoorbehoud
Alle geleverde zaken blijven eigendom van A10 Automotive totdat de klant alle verplichtingen volledig is nagekomen.
Artikel 8 – Aansprakelijkheid
A10 Automotive is niet aansprakelijk voor indirecte schade, gevolgschade of gederfde winst. De aansprakelijkheid is in alle gevallen beperkt tot het factuurbedrag van de betreffende levering.
Artikel 9 – Klachten
Klachten dienen binnen 7 dagen na levering schriftelijk te worden gemeld. Na deze termijn vervalt het recht op reclamatie.
Artikel 10 – Toepasselijk recht
Op alle overeenkomsten is Nederlands recht van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement waar A10 Automotive is gevestigd.

In these terms and conditions, the following definitions apply:
- Dealer: A10 Automotive, registered in the Netherlands, Chamber of Commerce: 87758792.
- Customer: the natural or legal person entering into an agreement with the dealer.
- Agreement: any arrangement or contract between the dealer and the customer.
Article 2 – Applicability
These terms and conditions apply to all offers, quotations and agreements made by A10 Automotive. Deviations are only valid if agreed in writing.
Article 3 – Offer and Agreement
All offers are non-binding. An agreement is concluded upon written confirmation by A10 Automotive or upon actual commencement of execution.
Article 4 – Prices
All prices are inclusive of VAT unless stated otherwise. A10 Automotive reserves the right to adjust prices prior to conclusion of the agreement.
Article 5 – Delivery
Delivery times are indicative. Exceeding them does not entitle the customer to compensation or dissolution of the agreement unless agreed in writing.
Article 6 – Payment
Payment must be made within 14 days of the invoice date unless otherwise agreed. Failure to pay on time constitutes a default by operation of law.
Article 7 – Retention of Title
All delivered vehicles and goods remain the property of A10 Automotive until the customer has fulfilled all obligations in full.
Article 8 – Liability
A10 Automotive is not liable for indirect damage, consequential damage or loss of profit. Liability is in all cases limited to the invoice amount of the relevant delivery.
Article 9 – Complaints
Complaints must be submitted in writing within 7 days of delivery. After this period the right to claim expires.
Article 10 – Governing Law
All agreements are governed by Dutch law. Disputes shall be submitted to the competent court in the district where A10 Automotive is established.
